These Terms of Use (“Terms”) govern your access to and use of the Forma mobile application, related websites, walking-pad connectivity, challenges, leaderboards, employer dashboards, and associated services (collectively, the “Service”).

1. Agreement to These Terms

The Service is provided by LTD Forma Technologies Georgia, registration number 400369828, registered at Tbilisi, Tskneti Highway 49, Georgia (“Forma”, “we”, “us”, or “our”).

By creating an account, accepting an invitation, connecting a walking pad, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you use the Service on behalf of an employer or organisation, you confirm that you are authorised to do so and must also comply with that organisation’s policies.

2. Eligibility and Workplace Access

You must have legal capacity to agree to these Terms and be at least 16 years old (or such higher age as required by local law). The Service is primarily intended for employees, employers, HR teams, workplace administrators, and other authorised organisational users.

Access may depend on an invitation, organisation code, approved email domain, subscription, or other authorisation. An employer or administrator may add, suspend, modify, or remove your workplace access in accordance with its agreement with Forma.

3. User Accounts

When creating or using an account, you agree to:

Provide accurate and current registration information

Keep your login credentials confidential and not share your account

Use only your own account and authorised organisation access

Promptly update any inaccurate information

Notify Forma or your administrator immediately of any suspected unauthorised access

Accept responsibility for activity performed through your account, except where caused by Forma’s breach

We may require identity or organisation verification and may refuse or suspend access where information is inaccurate, security is at risk, or use is unauthorised.

4. Description of the Service

Forma is a workplace wellness and engagement platform. The Service may allow you to:

Connect to compatible Forma walking pads via Bluetooth

Record steps and other session metrics during walking-pad use

View activity history, progress, achievements, and personal statistics

Join workplace, office, or team challenges

Appear on leaderboards and compare results with authorised participants

Receive notifications, reminders, and challenge updates

Give employers or HR administrators access to individual or aggregated dashboards, depending on configuration

Available features may vary by device, operating system, subscription, location, hardware model, organisation configuration, and app version.

5. Licence to Use the App

Subject to these Terms, Forma grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable licence to install and use the app on devices you own or control, solely for authorised use of the Service. The app is licensed, not sold. No ownership rights are transferred to you.

6. Walking-Pad Connection and Activity Records

The app records activity only when properly connected to a compatible Forma walking pad. Bluetooth interruptions, device settings, hardware condition, app state, incorrect pairing, network availability, or misuse may result in delayed, duplicated, incomplete, or inaccurate records.

You must not manipulate a walking pad, account, mobile device, or software to falsify steps, points, rankings, achievements, or challenge results. Forma and the relevant organisation may correct or remove clearly invalid activity and may suspend users for attempted manipulation.

7. Health and Safety

The Service and walking pads support general movement and workplace wellness. They are not medical devices and do not provide medical advice, diagnosis, treatment, rehabilitation, or any guarantee of health, fitness, productivity, or weight-loss outcomes.

Use walking equipment only as instructed in the applicable manual and safety warnings

Wear appropriate footwear and keep the walking area clear of obstacles

Do not use a walking pad while distracted or in a manner that creates risk to yourself or others

Respect equipment weight limits, speed limits, maintenance requirements, and workplace rules

Stop immediately if you experience chest pain, faintness, severe shortness of breath, loss of balance, unusual pain, or any other concerning symptom

Consult an appropriate healthcare professional before use if you have a medical condition, are pregnant, are recovering from injury, or are unsure whether walking exercise is suitable for you

Use of hardware is at your own reasonable discretion and must comply with your employer’s health and safety procedures. Nothing in these Terms excludes liability that cannot lawfully be excluded.

8. Challenges and Leaderboards

Challenge rules, duration, eligible participants, scoring methods, prizes, and ranking criteria may be set by Forma or by the relevant organisation. Additional campaign rules may apply and will prevail for that challenge where they conflict with these general Terms.

Rankings are generated from available records and may change after verification or correction. Forma does not guarantee that every result is error-free or that a specific user will receive a prize, benefit, or workplace recognition. Prizes offered by an employer or third party are that party’s responsibility unless Forma expressly states otherwise in writing.

9. Employer and Administrator Controls

Where your organisation provides the Service, authorised administrators may manage accounts, teams, permissions, challenges, and access. Depending on configuration, they may view profile data, participation, activity metrics, and reports.

Your relationship with your employer is separate from your relationship with Forma. Forma is not responsible for employment decisions, disciplinary action, incentives, performance assessment, or workplace policies based on Service data, except to the extent directly caused by Forma’s unlawful conduct or breach.

10. Acceptable Use

You must not:

Use the Service unlawfully, fraudulently, or outside authorised workplace purposes

Create false accounts or impersonate another person or organisation

Share credentials or gain unauthorised access to another account, team, organisation, or dashboard

Manipulate hardware, software, Bluetooth communications, activity records, points, or rankings

Upload malware, interfere with security systems, overload infrastructure, or disrupt the Service

Reverse engineer, decompile, disassemble, copy, scrape, or extract source code or protected content, except where expressly permitted by applicable law

Use automated tools to access the Service without prior written permission

Harass other users or submit unlawful, infringing, defamatory, or harmful content

Use Service data to discriminate unlawfully or to violate another person’s privacy

Resell, sublicense, rent, or commercially exploit the Service without written authorisation

11. User Content and Feedback

You retain ownership of content you lawfully submit, such as a profile image, nickname, feedback, or support message. You grant Forma a limited licence to host, process, reproduce, and display that content only as necessary to operate, secure, improve, and support the Service.

Feedback and suggestions may be used to improve Forma without obligation to compensate you, provided we do not publicly identify you without your permission.

12. Intellectual Property

Forma and its licensors own all rights in the Service, including software, source and object code, designs, interfaces, databases, algorithms, text, graphics, logos, trademarks, documentation, challenge formats, and other content, except user-owned content and third-party materials.

No right is granted except the limited licence expressly stated in these Terms. “Forma”, “Forma Technologies”, associated logos, and product names may be registered trademarks or protected commercial identifiers.

13. Third-Party Services

The Service may depend on third-party operating systems, app stores, cloud platforms, authentication tools, analytics providers, notification services, hardware components, or linked resources. Third-party terms and privacy policies may apply. Forma is not responsible for third-party services beyond the extent required by law or expressly agreed in writing.

14. Availability, Updates, and Changes

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability. Maintenance, updates, network failures, hardware issues, security events, force majeure, and third-party outages may affect access.

We may update the app, change features, introduce new functionality, or discontinue features. Updates may be required for security or compatibility. Material reductions to a paid organisational service remain subject to the relevant commercial agreement.

15. Fees and Commercial Agreements

Individual employees may receive access through their organisation. Fees, subscriptions, hardware purchases, installation, warranties, service levels, trials, and payment terms are governed by a separate quotation, order form, customer agreement, or app-store purchase terms where applicable.

If these Terms conflict with a signed commercial agreement between Forma and an organisation, the signed agreement prevails for that commercial relationship.

16. Suspension and Termination

You may stop using the Service at any time and request account deletion as described in the Privacy Policy. Forma or an authorised organisation may suspend or terminate access where:

You materially breach these Terms or applicable challenge rules

Your use creates a security, safety, legal, or operational risk

Activity appears fraudulent, manipulated, or unauthorised

The organisation’s subscription, employment relationship, or authorisation ends

Suspension is required by law or a competent authority

The relevant Service is discontinued

Where reasonable and lawful, we will provide notice and an opportunity to address a remediable breach. Provisions intended to survive termination — including intellectual property, liability, privacy, dispute resolution, and governing law — remain effective.

17. Disclaimers

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis. Forma does not guarantee that:

Activity records, estimated calories, distance, points, or rankings will always be exact

The Service will be compatible with every device, network, or third-party system

The Service will be uninterrupted, fully secure, or free from every defect

Use will improve health, fitness, productivity, employee satisfaction, or business performance

All data lost due to a user device, network failure, unauthorised modification, or third-party fault can be recovered

Mandatory statutory rights and warranties remain unaffected.

18. Limitation of Liability

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, violation of mandatory data-protection rights, or any other liability that cannot legally be excluded.

To the maximum extent permitted by law, Forma will not be liable for indirect, incidental, special, punitive, or consequential loss, including loss of profit, opportunity, goodwill, anticipated savings, or business interruption.

Where Forma is liable and no separate commercial agreement specifies another limit, Forma’s aggregate liability arising from an individual user’s use of the Service will be limited to the greater of: (a) the amount paid directly by that individual to Forma during the 12 months before the event giving rise to the claim; or (b) GEL 100. This limitation does not apply where prohibited by mandatory law.

Organisational customers are subject to the liability provisions in their applicable commercial agreement.

19. Indemnity

To the extent permitted by applicable law, you agree to compensate Forma for reasonable losses and costs resulting from your deliberate unlawful use of the Service, material breach of these Terms, manipulation of challenge data, or infringement of third-party rights. This does not apply to losses caused by Forma or where prohibited by mandatory law.

20. Privacy

Personal data is processed as described in the Forma Privacy Policy, which forms part of the legal framework governing the Service. The Privacy Policy does not reduce any statutory privacy right you may have.

21. App Store Platform Terms

If you download the app through the Apple App Store or Google Play, the applicable platform’s terms also apply. The platform provider is not responsible for operating, supporting, or maintaining Forma except as required by its own terms or applicable law.

For iOS: these Terms are between you and Forma, not Apple. Apple has no obligation to provide maintenance or support for the app. Apple and its subsidiaries are intended third-party beneficiaries of the end-user licence provisions to the extent required by Apple’s standard platform terms.

22. Changes to These Terms

We may update these Terms to reflect changes in law, security, technology, or the Service. The updated version will be published with a revised effective date. We may provide additional notice for material changes. Continued use after the effective date means the revised Terms apply, except where affirmative consent is required by law.

23. Governing Law and Disputes

These Terms are governed by the laws of Georgia, without excluding mandatory protections that apply under the law of your residence or another relevant jurisdiction.

The parties should first attempt to resolve any dispute through good-faith direct communication. Unless mandatory law provides otherwise, disputes relating to the Service will be submitted to the competent courts of Tbilisi, Georgia.

24. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, it will be modified or removed only to the minimum extent necessary and the remaining provisions will continue in full force. Failure to enforce any provision is not a waiver. You may not transfer your rights under these Terms without our written consent. Forma may transfer its rights as part of a corporate transaction or business reorganisation, subject to applicable law. These Terms, the Privacy Policy, challenge-specific rules, and applicable commercial agreements together constitute the complete legal framework for your use of the Service.
